Stately Editor Proprietary License Agreement
Last updated: July 24, 2026

Copyright (c) 2025-2026 Stately Software, Inc. All rights reserved.

This agreement governs your use of the Stately Editor extension (the
"Software"). By downloading, installing, accessing, or using the Software, you
accept this agreement. If you do not accept it, do not use the Software.

1. License grant

Subject to this agreement, Stately Software, Inc. ("Stately") grants you a
limited, non-exclusive, non-transferable, non-sublicensable license to install
and use the Software in object-code form for your personal or internal business
purposes. You may make a reasonable number of backup copies.

The Software is free to install. Some features require a Stately account or a
paid Stately plan. Your account and plan determine the features available to
you; they do not transfer ownership of the Software or grant additional rights
to its code.

2. Restrictions

Except where applicable law expressly permits it, you may not:

- copy, modify, translate, adapt, or create derivative works of the Software;
- distribute, sell, rent, lease, sublicense, lend, or host the Software for
  third parties;
- reverse engineer, decompile, disassemble, or attempt to discover its source
  code;
- remove or alter proprietary notices; or
- bypass authentication, entitlement, usage, or security controls.

3. Ownership

The Software is licensed, not sold. Stately and its licensors retain all right,
title, and interest in the Software, including all intellectual property rights.
This agreement does not claim ownership of source files, state machines, or
other content that you create or process with the Software.

4. Third-party software

The Software may include third-party components governed by their own licenses.
Those licenses apply to the corresponding components and are not restricted by
this agreement.

5. Services and data

Features that connect to Stately-hosted services are subject to the terms
presented for those services. Stately's handling of personal data is described
at https://stately.ai/privacy.

6. Updates and availability

Stately may provide, change, suspend, or discontinue updates, features, or
services. Updates to the Software are governed by this agreement unless a
different agreement accompanies them.

7. Termination

This license terminates automatically if you materially breach this agreement.
Upon termination, you must stop using and delete all copies of the Software.
Sections that by their nature should survive termination will survive.

8. Disclaimer

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SOFTWARE AND RELATED SERVICES ARE
PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND. STATELY
DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING
MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, STATELY AND ITS LICENSORS WILL NOT BE
LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE
DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR BUSINESS INTERRUPTION, ARISING
FROM OR RELATED TO THE SOFTWARE OR THIS AGREEMENT. STATELY'S TOTAL LIABILITY
WILL NOT EXCEED THE AMOUNT YOU PAID TO STATELY FOR THE SOFTWARE DURING THE 12
MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

Some jurisdictions do not allow certain disclaimers or limitations, so parts of
Sections 8 and 9 may not apply to you.
